Simple, the cat by pass pipe by pass the cat and the muffler by pass pipe by passes the muffler.
Less restriction of the exhaust flow should give you more power in the upper rpm's.

Either option will be very LOUD! While you may get more HP in the upper end of the power band, you may also lose some lower to mid-range torque.
