If PPI is clean on both cars and price is the same. I would chose #1 because of the lower miles. The reason is if you put the same miles on both cars, the first one would probably have a higher resale value.
With any cars low or high miles, make sure you get a PPI.
"I'll give you $5000 if you magically make my sunroof disappear from the roof"
why did p but sunroofs on (nearly) all the 993s!? if i wanted the sun in my car i'd have bought a cab (or kept my miata)! i just know that the one day i go to use the sunroof it is going to get stuck in the open position...and then, in a cruel twist of fate, it is going to start raining!
I can practically guarantee that the warranty on the 2nd car WILL NOT transfer to you, regardless of any claims made by the warranty service and/or the current owner. Ask me how I know. Adjust the price down accordingly.
I know that some people have had excellent results with aftermarket warranties. I had a horrible experience with one on my previous 993. I would not look at an aftermarket warranty as a benefit unless it came directly through Porsche (on their certified used cars through their dealers - as I have on my Cayenne S). Aftermarket warranties sold by indpendent dealers run the range of from good to $h!t. Investigate it in great detail and read the fine print.

Saw the first one at the dealer (If it is the same one). Looked pretty clean. What concerned me about the first one was the passenger side door when shut. The seams did not line up evenly with the body of the car. Make sure you look at it closely. Looked like something happen there to cause the problem. Compare it with the other porsches on the lot and see for yourself. Make sure you get PPI.
2nd one. Miles are not that different to matter - one year of driving for me. It already has the wheels you want and good rubber, that will save you $1,800 for the wheels and another $1,000 in tires. Then you have the added benefit of the warranty, though only good until november, you can put on lots of miles and have what (most certainly will) breaks replaced for free, and possibly be able to buy an extention. Have you look at the service/repair history of the cars?
The one with the locking diff. This feature includes the stability control that works under 45mph, useful in snow and other low traction situations. Its something very valuable in a car such as the 993 (and fun too), and probably unlikely to be added later. The other stuff is easily added if you want to. IMO, I prefer OEM stuff. But agree on the chrome wheels.
First one, Low miles means better resale value when you change your mind and move to a 6 sp
