Is this a good price. I went and looked at the car it is in excellent condition inside and out. Everything works, other than the passengar seat would not go forward, but all other directions. The Antilock light was on, the rear hatch didn't want to stay up, but the car drove great and looked awesome.
He had just had the car serviced, if I am serious I would ask to see all the service records.

Excellent condition in and out, drives well then;.................. I'd be asking for the timing belt/ water pump service record, condition of the tyres, thrust bearing inspection, HVAC system operation, a/c operation.
$12,200 may well be a good price if all the above is in good condition; take the car for an inspection.

It could be a great deal. But .... a pre-purchase inspection by a mechanic that knows the 928 S4 well is necessary. There can be some "small" things that are easy to overlook but mean a lot of expense later on.
The key "rule" is to be prepared to spend another 10% on post purchase fixes or maintanence.

The seat - switch repair/replace
The ABS - relay (most likely)
The hatch - new hatch shocks
That's fairly low miles. You say it looks awesome. If the paint is good, no dings, there are no dash/pod cracks, leather is not worn or ripped, everything works and the PPI doesn't show any major issues, then it's good.
Besides the common PPI items (evidence of accident damage, brakes, shocks, tires, etc.), common things to look for in cars of this age:
- steering rack leaks - pull back boots
- worn tied rods and A-arms
- coolant/oil leaks - some require serious labor to fix, others are minor
- motor mounts - labor
- wheel bearings
- rear axles - busted boots and worn CV
......
Ah, heck, instead of recreating the wheel, take a look at this PPI checklist from someone who has bought and sold more 928s that anyone else I know personally. Go through the rightside menu and look at each area. Jot down items that you want to remember to ask the inspector. This is likely to be more thorough than the actual PPI you will get. You need an inspection from someone very familiar with 928s, and that is almost never the local Porsche dealer. Anyway, here is Dan's PPI:

Get a PPI be a 928 knowlegable mechanic or have a local 928er check it over for you....The $200 or so it will cost you for a good PPI is money well spent. Also look over all the receipts...T-belt and water pump...are the biggest....
The passenger seat could be a pain..could be more grease on the track...the trunk shocks are cheap and easy to fix...the antilock light could be big problems...most likely the relay ($75) or the wheel sensors....all are not that hard to fix yourself. Do a check of the HVAC well...make sure all vents works like they should "including" the recirculation flap, chances are there is some vaccum leaks....
If the car is a 5 speed and it checks out....it could be a good deal!
