I'll fix that question for you... how much money is it to modify S3 heads to S4 valves ... 
I have an 1985 manual S3 that I replaced the chain tensioners to S4, did a T belt and intake refresh on, with 244K miles on the clock w/ S300 chips and it runs great.
The 928's engine's are very well built, and will last if maintained.
